This purchasecontract (hereafter abbreviated “contract”) is signed by andbetween the Buyer and the Seller upon equal negotiations based onthe Contract Law of P..R .China and otherrelevant laws and regulations..Both parties agree to sell and buy goods onfollowing terms and conditions.
此销售合同（以下简称“合同”）根据 <<中华人民共和国合同法>>及相关法律法规并经由买卖双方经平等协商后共同签定，买方与卖方均同意以下条款和条件购买和出售货物。

SPECIFICATION AND PRICE 规格与价格：
Grey cow split leather .The leather palm is to measure 205mm from the tip of the middle finger to the wrist and 125 mm handwide.
灰色牛革质料。皮革掌面从手指到腕部205毫米，掌宽125毫米。

2.Delivery: 交货方式：
Description,quantity, unit price, totalamount and other detailsof the goodsordered please refer to detailorder, invoice and packing list. The name of the issuing company ofinvoice must be the same as the seller.
采购品名、规格、数量、单价、总价、交期等参考每次采购相应订单、发票及装运单，发票的填开单位必须与本合同中卖方的名称相一致。
The seller shall deliver the goods to thewarehouse as previously agreed between the twoparties.卖方应把货物送交至双方事先约定的仓库。
3. QUALITY INSPECTIN 质量检验
Thequality ofall thegarments shallanswer forthe updated,valid Standardof the Nationand the industry. In case thegarments are unqualified or forother reason that shall ascribe the seller’sfault, which brings losses of or damages(including but not limited tofine, expropriate, damageto Goodwill, lawyer’s feeand otherlosses for the buyer ’sbreach of law orcontract because of the seller fault) to thebuyer, the buyer shall has the right to askseller for damages.
所有手套质量应符合最新、有效的国家标准、行业标准的规定，若卖方交付的手套质量不合格或其他任何可归咎于卖方的责任导致买方遭受的任何损失（包括但不限于罚没款、扣款、商誉损失、律师费及其他因卖方原因导致买方违约、违法所遭受的损失），买方有权要求卖方承担。
Seller shall provide7 original copies of"Approved" Quality InspectionCertificate foreach leatherused to produce 7days before the delivery date.The certificate must be issued by a Chinese official qualitytesting department, the samplesthat the seller send to quality test lab shall berepresentative, can represent the quality of the goods, and thetest must follow the Basic Standard and include the composition ofthe fabric. The buyer will settle the paymentaccording to the contract after received the test report and otherrelated documentations (Packing list, Invoice of Goodsetc.).
卖方应于交货日 七日前向买方提供由中国官方质检部门认可的质检机构出具的所有用来制作。手套的面料的合格质检报告原件 7份，卖方向质检机构送检的样品应具有代表性，能够代表大货质量，质检报告应包含国家标准的安全技术要求事项。买方在收到质检报告、装箱单、货物发票等其他文件后按合同约定付款。
4.PAYMENT 支付
Forall the goods, the seller shall issue invoice tothe buyer, the invoice shall be invoiced to: Co.,Ltd
所有货物应由卖方向买方开具发票，发票抬头需开列买方单位名称为。

发票开立种类：中华人民共和国增值税专用发票。
Terms of Payment: Total amount of payment of goodsshall be paid in RMB within 30 days issued theinvoices.
付款方式：买方向卖方所订购的货物款项皆以人民币支付，具发票后30天内支付本合同的100%货款。
Upon signing the contract, the seller shallprovide bank information for the buyer to effectpayment.
买卖双方签定订购合同后，卖方需提供公司银行资料给予买方支付货款.。

5. Intellectual Property Right 知识产权
All the goods, documents and materialsthat the Seller gets to may concerns intellectualproperty right of the buyer may contains trade marks,copyright and business secretof the buyer. The seller shall keep secret andshall procure that its employee,agent and any other persons whomay have access to theabove-mentioned information keep confidentialityand shall not use it for any purpose at any timeor disclose to any third party.The seller shall not sell,transfer any products or materials to any thirdparty except for the buyer that concerns trade marks, other logo ormarks, copyright and other intellectual property right of thebuyer, even if for the out season products, substandard products,rest products and unused/waste products or materials. In case theseller breaches, the buyer has the right to ask forindemnification including butnot limited investigation fees, lawyer’sfees，compensation as well as all other feesaccording to the stipulations or Chineselaws.
卖方接触到的买方的物品、文件资料均可能涉及买方及其关联公司的知识产权，尤其是可能包含的买方商标、著作权及商业秘密。卖方应对其知悉的买方及其关联公司的商业秘密进行保密，并应促使卖方所有接触到买方秘密信息的任何雇员、代理人、客户或其他人士对该信息保密，不得在任何时候为任何目的使用或者向任何第三人披露。卖方不得向除买方及任何单位和个人销售、转让涉及买方及商标、标识标记、著作权等知识产权的产品或资料，即使对于过季品、等外品、富余品和废弃不用的产品或资料也不例外。若卖方违反约定，买方有权根据约定及中国法律规定要求卖方承担包括但不限于调查费、律师费、赔偿金在内的一切赔偿责任。
7. DISPUTE AND OTHER 争议解决及其他
Both parties will tryto resolve any dispute concerning the contractamicably. If the dispute can not be resolved bynegotiation, any party may initial legalaction.
买卖双方在履行本合同时如有争议应先以友好协商方式解决,如协商不成买卖双方可将争议送交由提出诉讼方所在地之人民法院进行诉讼.
All appendixes to this contract should be bonded to the contract asa whole.
本合同所附带之所有附件及附带协议或合同将作为本合同不可分离之一部份.
The contract includes two originals signed by the authorizedsignatories from each party on the followingdate, each party shall retain one fully signed originals and eachcopy has equal legal effect.
需由买卖双方授权代表在以下日期签属一式两份原件,买卖双方各持有一份完整并经过签属完整的合同，买卖双方所持有之合同并具同等法律效力.。
This agreement is written in one form of two versions in Englishand Chinese, if both versions of English and Chinese are foundinconsistent, the Chinese version should be the basis tofollow.
本合同为中英文版本书写,如合同条款有中英文本不一致之处则以中文为准.
