第二章 设计咨询范围及内容 Scope of design consultation and content
乙方设计咨询范围 Scope of designconsultation for Party B
本次设计景观总面积约为平方米。甲方同意委托乙方承担其景观设计咨询工作。
The totalarea of the landscape design is squaremeters. Party A agrees to entrust Party B for the consultative anddesign work.
本合同包括的工作阶段： 景观的方案设计、扩初设计、施工图设计。

第三章 甲方需向乙方提交的相关资料、文件及时间

甲方在规定的时间内向乙方提交基础资料及文件，并对其完整性、正确性、及时性负责。

f局部景观立面图及剖面图；Partial landscape elevationsand section plan

4.3第三阶段：施工图设计The third phase： Construction drawingdesign
4.3.1 在扩初设计经甲方认可后，乙方将进行施工图的设计工作。
After the design ofpreliminary design approved by Party A, Party B will start theconstruction drawing design.
4.3.2 此阶段设计成果有： This stage ofdesign work result include：
a总平面图；. General layout
b局部放大平面图；Local enlargement of the floorplan；
c放线图；Line figure
d种植图；. Plant figure
e铺装图；Install figure
f竖向图；Verticalplan；
g环境配电图； Surrounding powerdistribution chart ；
h环境给、排水图； Surroundingwater supply and drainage
i设计说明、各种详图、植物名录；Design instruction, thedetailed map, plants list
j提供8套施工图纸。Deliver eight sets designdrawing
4.3.3此阶段用时工作日。 This stagetakesworkdays
4.4现场服务阶段The site servicestage
4.4.1在项目进入施工阶段后，乙方提供现场服务。
After commencing theconstruction phase of the project, Party B provide on-siteservice.
4.4.2此阶段成果有：This stage of design workresult include：
a与施工方现场交底；communicate with constructioncontractor for the design intention.
b现场效果控制；Jobsite constructioncontrol
c材料封样；Sealed samplematerials
d植物主材选定。 Plantsselected
4.4.3 此阶段用时工作日。This stage takesworkdays
第五章 设计费及支付方式 Design fee and thepayment method
5.1本合同项目的设计费，总额为人民币，小写元整。（按景观面积平方米，单价元/平方米），

5.2乙方基本服务费用根据不同阶段分列如下：
Party B basic servicefees according to the different stages are as follows:
5.2.1 方案设计阶段：提交成果后个工作日内，委托方应支付设计费人民币：元整，小写元（合同金额的%）。：
Preliminary design phase: the client shall payRMBof design fee, ￥: (% of contract total amount) within businessday after submitting the results:
5.2.2 方案扩初阶段：提交成果后个工作日内，委托方支付设计费人民币元整，小写元（合同金额的%）。：

5.2.3 施工图阶段：提交成果后个工作日内，委托方支付设计费人民币元整，小写元（合同金额的%）。：
Construction drawing phase: the client shall payRMBof designfee, ￥ :(% of contract total amount) withinbusiness day after submitting the results:
5.2.4 施工期间现场配合阶段：景观工程竣工验收后个工作日，委托方支付费用为人民币元整，小写元（合同金额的%）。
Jobsitecooperating phase: the client shall pay RMBof design fee, ￥: (% of contract total amount) withinbusiness day after the landscape construction completed and passthe acceptance examine:
5.3 其它：Others
甲方需委派一位人员，就此工程设计方向的事宜上，负责批复乙方的设计。如甲方要求乙方对已同意的设计提供重大修改，或进行合同之外的设计工作，应被视为额外服务项目，收费应由甲乙双方共同协定。
Party Ashall appoint a staff to in charge of Party B’s engineering designapproval. If Party A request Party B to be make major adjustment onthe design approved by Party A, or work on the design out of thiscontract scope, should be considered an additional service, feesshould be design by mutual agreement of both parties.
第六章 双方责任Chapter6 Responsibilities of parties
6.1甲方责任 Responsibilities ofParty A
6.1.1 甲方按本合同协定提交的内容，在协定的时间内向乙方提交资料及文件，并对其完整性、正确性及时限负责。另外，甲方还应提供关于场地条件的数据，包括公用事业、地理条件、道路使用权、限制条件等。
Party A shall submitthe data and documents content in according to this contractstipulated, in agreed time limit, and be responsible for itsintegrity, correctness and time limit. In addition, Party A shallalso provide the data about the conditions at the jobsite,including utilities, geographical conditions, road use right,constraints, etc.
6.1.2甲方提交上述资料及文件超过规定期限15天以内，乙方按合同规定交付设计文件时间顺延；期限超过15天以上时，乙方有权重新确定提交设计文件时间。
Party A delay tosubmitted the data and documents referred above in excess of theprescribed period within 15 days, Party B postpone deliver thedesign documents in according to the contract stipulation time. Ifthe delay time more than 15 days, Party B has the right todetermine a new submitted time for the design documents
6.1.3 甲方变更委托设计项目、规模、条件或因提交的资料错误，或所提资料作较大修改，以致造成乙方设计需返工时，双方除需另行协商签订补充合同（或另订合同）、重新明确有关条款外，甲方应按乙方所耗工作量向乙方支付返工费。
Party B designreworked causes by Party A change design projects, scale,conditions or because of the presented material mistakes, ormentioned material major revision. Both parties shall sign asupplementary agreement (or sign a new agreement) and redefinerelevant terms, Party A shall pay associated rework fee to Party Bin according to the workload.
6.1.4 在合同履行期间，甲方要求终止或解除合同，乙方未开始设计工作的，不退还甲方已付的定金；已开始设计工作的，甲方根据乙方已进行的实际工作量，另行议定。
During the implementof the contract, Party A request to terminate or rescind thecontract, Party B has not started design work, does not returnprepaiddeposit to Party a; design work has begun, Party A can negotiatewith Party B for the fee in according to the actualworkload.
6.1.5 甲方应按本合同第五章规定的金额和时间向乙方支付设计费用，每逾期一天，需承担应支付金额千分之二的逾期违约金。逾期超过十四天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。
Party pay the designfee in according to the clause fifth of this contract, Late paymentshall pay 0.2 % of the late payment amount penalty per day, if thelate payment is overdue more than 14 days, Party B has the right tosuspend its work for next stage, and notice in writing to PartyA.
6.1.6 甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。
Party A requests PartyB to submit the design documents before contract stipulated time,Party A shall pay the rush cost.
6.1.7 甲方应为乙方派驻现场的工作人员提供工作、生活交通等方面的便利条件，但费用由乙方自行承担。
Party A shouldprovide Party B's on-site staffs work, living and trafficconveniences, but the cost shall be bear by Party B.
6.1.8 甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得向第三方转让，否则，乙方有权索赔。
Party A shallprotect Party B’s design copyright, Party A should not transfer thedesign documents to third party without the agreement of Party B,or else, Party B has the right to claim forcompensation.
6.1.9 甲方有权在本项目对外宣传时使用乙方标识。
Party A has the rightto use the logo of Party B in advertising the project.
6.2 乙方责任
乙方按本合同协定提交的内容、份数、在协定的时间内向甲方提交成果，并对其完整性、正确性、及时性负责。
2.1 Partyb shall submit the result content, number of copies stipulated inthe agreement in time, and be responsibility of its completeness,correctness and timeliness.
6.2.2 乙方对设计文件出现的遗漏、错误或甲方不满意之处负责修改或补充。由于乙方设计错误造成工程质量事故损失，乙方除负责采取补救措施外，应免收受损失部分的设计费，并根据损失程度向甲方偿付赔偿金。经甲方或上级主管部门审查后，在原定任务书设计范围内的必要修改，乙方负责承担。
Party B shall modifyor resupply the design document if there appeared omissions, falseor unsatisfied by Party A. Due to the engineering quality accidentsloss caused by Party B's design error, party B shall reduce therelevant part design fee, in addition to take remedial measures andbe liability for compensation according to the loss to Party A’sdamages. After examination by Party A or superior departments incharge, amendments request within the scope the originalspecification design, Party B shall be liable.
6.2.3 由于乙方自身原因，延误了设计文件交付时间，每延误一天，应减收该项目设计费的千分之二。
Due toreason of Party B, if delivery time being delayed, Party B shouldreduce the project design fee of 2/1000 per delayeddays.
6.2.4 乙方交付设计文件后，参加有关上级审查及根据审查结论负责不超出原定计划任务书范围内的必要调整补充。不再计取费用。
After deliveringdesign documents, Party B shall participate in relevant superiorexamination, and according to the review conclusion to addnecessary adjustment. Supplement within the scope of original plantask, shall not charge for any additional fee.
6.2.5 乙方不得向第三方扩散、转让甲方提交的产品图纸等技术经济资料。如发生以上情况，甲方有权索赔。
Party Bshall not spread or transfer product drawings, other technical andeconomic data submitted by Party A to third party. If abovecircumstance happened, Party A has the right to claim forcompensation.
6.2.6 乙方同意配合甲方按工程进度要求调整出图顺序，付款方式可另行协商。
Party Bagrees to coordinate Party A to adjust drawing deliver orderaccording to the schedule require, payment method can be separatelynegotiate by both parties.
6.2.7 乙方必须根据设计标准、技术规范、设计任务说明等相关景观设计标准进行设计，提交符合质量的设计文件。
Party Bmust submit the quality design documents in accordance with designstandards, technical specifications and design task of relevantlandscape design standards.
6.2.8 乙方必须在满足方案标准的前提下，选料用材时要注意到景观效果和造价的关系，作到既满足景观效果的要求，又最大限度的降低造价。
Party Bshall choose materials quality in accordance with landscape effectand price under the standards of scheme, in satisfies therequirements effect and maximum reduce cost.
第七章 补充条款 Supplemental condition
7.1 合同终止 Termination ofcontract
7.1.1 甲方因自身原因不能履行本合同，应按照合同付清已完成阶段设计任务对应的设计费, 并承担合同总额的10%给乙方作为违约金，合同终止。
Party Aunable to perform the contract due to its own reason, should paythe design fee of completed phase in accordance with the contract,and bear the 10% of the total contract amount as liquidatedpenalty, terminate the contract.
7.1.2 乙方因自身原因无法履行合同，应退回全部设计费用，并承担合同总额的10%给甲方作为违约金，合同终止。
Party Bunable to perform the contract due to its own reason, should pay10% of the total contract amount as liquidated penalty, andterminate the contract.
7.1.3 由于不可抗力因素致使合同无法履行时，双方应及时协商解决。
Whenunable to fulfill the contract due to force majeure factors, bothparties should be resolved through consultation in a timelymanner.
7.2 未尽事宜及争议的解决 Unmentionedmatters and dispute result
7.2.1 本合同未尽事宜，双方可签订补充协议作为附件，补充协议与本合同具有同等法律效力。
Mattersnot concerned of this contract, both parties can signed asupplementary agreement as attachments, supplementary agreementsand this contract have the same legal effect.
7.2.2 在履行合同的过程中，双方发生争议，应本着友好的原则协商解决,协商不成的，依法提交仲裁委员会仲裁。
During theimplement of this contract, if dispute occur, should be resolved innegotiation with the principles of friendly consultation. Failed innegotiation, both party can submit it toArbitration Commission for arbitration according to law.
7.2.3 本合同适用于中华人民共和国法律。
Thiscontract apply to law of People Republic of China
7.3 其它 others
7.3.1 乙方为本合同项目的服务到施工安装结束为止。
Serviceprovide by Party b to this contract shall be valid until theconstruction installation is complete.
7.3.2 甲方委托乙方承担本合同内容以外的工作服务，另行签订协议并支付费用。
Otherworks entrusted by Party A to Party B beyond the range of thiscontract, shall entered into separate agreements and pay separatecosts.
7.3.3 本合同有效期自双方签字盖章之日起2年内有效。
Thecontract is valid after both parties signed and sealed, thevalidation period is 2 years.
7.3.4 本合同正本一式两份，双方各执一份，具有同等的法律效力。
This original contract in duplicate, each party keeps one copy andhas same legal effect.
