二手船买卖合同1993年挪威格式（NSF＇93）
译注： 国际上二手船的合同,称之为Memorandunof Agreement 可译称协议备忘录,简称M.O.A.,目前国际上通行的有两种标准版：一种是挪威标准,另一种是日本标准.两种二手船舶买卖合同的标准略有不同,日本的标准版本略为偏向于卖方的益处,尽管两种都是标准的条款,然而经过买卖双方的谈判、增加、删减或修改之后,最后也“面目全非”,因此采用何种条款问题都不大,最终双方签署的M.O.A,将是双方获得一致,都可以接受的并且受到有关法律保护的正式文件。
由于二手船买卖涉及的方面很多,交易金额高,买方风险大,因此,二手船买卖的双方通常会选择标准合同文本作为合同谈判的基础.国际上二手船买卖合同通常称之为协议备忘录,即Memorandumof Agreement,简称M.O.A.目前国际上使用最多的就是挪威买卖格式,尤其以采用1993年版本的最多.另外也有其他的国际二手船买卖的标准格式,如1985年伦敦船舶买卖格式,即theLondon Ship Sale Contract, 1985,1999年的日本船舶买卖格式,即Nipponsale,1999,不过二手船交易双方使用这两种版本的较少.日本标准版本比较偏向卖方的利益.国内的二手船交易双方通常也是参照挪威买卖格式的中文译本而订立的.通常,合同文本由卖方提供.因此买方应该熟悉二手船买卖标准版本的内容,以便对卖方提供的合同文本进行合适的修改.

Definitions定义
"Banking days" are days on which banks are open both inthe country of the currency stipulated for the Purchase Price inClause 1 and in the place of closing stipulated in Clause8.
"In writing or "written" means a letter handed over fromthe Sellers to the Buyers or vice versa, a registered letter,telex, telefax or other modern form of writtencommunication.
"Classification Society" or "Class" mean the Societyreferred to in Line 4.
“银行日”是指第一条下购买价格的币种可以交易的并在第八条约定的地点附近的银行对外营业的日数。
“书面的”或“书面地”指一份由卖方递交给买方或者买方递交给卖方的信件、挂号信、电传、传真或其它现今形式的书面交流。
“船级社或船级”指第四行提及的社会团体。

2.Deposit押金
As a security for the correct fulfilment of this contract,the Buyers shall pay a deposit of 10% - ten per cent - of thePurchase Money within banking days from the date of this agreement.This deposit shall be deposited with and held by them in a jointaccount for the Sellers and the Buyers, to be released inaccordance with joint written instructions of the Sellers and theBuyers. Interest, if any, to be credited the Buyers. Any feecharged for holding said deposit shall be borne equally by theSellers and the Buyers.
为了能确保此合同的执行，买方要在此合同生效日起银行日内支付买价的10%作为押金。押金要由买卖双方的联名账户保管并且需要通过双方的书面指示提取。如果发生利息的话，利息归于买方。任何由于保管上述押金而产生的费用由买卖双方平均承担。
3.Payment付款
The said Purchase Money shall be paid free of bank chargesto on delivery of the vessel, but not later than three banking daysafter the Vessel is in every respect physically ready for deliveryin accordance with the terms and conditions of this Agreement andNotice of Readiness has been given in accordance with Clause5.
在船舶交付时，上述购买价应全额支付，不负担银行手续费。买方支付船款日期应不迟于船舶本身在各方面已按本合同的条款规定处于交付状态，且准备通知书已按第5a条的要求递交后的3个银行工作日。
4.Inspections检查
a) The Buyers haveinspected and accepted the Vessel's classification records. TheBuyers have also inspected the Vessel at /in onandhave accepted the Vessel following this inspection and the sale isoutright and definite, subject only to the terms and conditions ofthis Agreement.
买方已检查并接受船舶的船级记录。买方已在（日期）在（地点）对船舶进行检查。买方根据该检查已接受船舶，那么船舶买卖关系即告确立，这仅限于此合同的条款。
b) The Buyers shall have theright to inspect the Vessel's classification records and declarewhether same are accepted or not within The Sellers shall providefor inspection of the vessel at / in The Buyers shall undertake theinspection without undue delay to the vessel. Should the Buyerscause such delay they shall compensate the Sellers for the lossesthereby incurred. The Buyers shall inspect the Vessel withoutopening up and without cost to the Sellers. During the inspection,the Vessel's deck and engine log books shall be made available forexamination by the Buyer's. If the vessel is accepted after suchinspection, the sale shall become outright and definite, subjectonly to the terms and conditions of this Agreement, provided theSellers receive written notice from the Buyers within 72 hoursafter completion of such inspection. Should notice of acceptance ofthe Vessel's classification records and of the Vessel not bereceived by the Sellers as aforesaid, the deposit together withinterest earned shall be released immediately to the Buyers,whereafter this contractshall be null and void.
买方有权检查船舶的船级记录，并在（时间）内宣布是否予以承认。卖方应在（地方）为买方安排船舶检查。买方不得因船舶检查而延误船期，否则，买方应向卖方赔偿由此引起的损失。买方在船舶检验时，不可将其拆解，也不可给给卖方带来费用上的负担。在检查过程中，船舶的轮机日志和航海日志应提供给买方查阅。如果经检查，凭卖方在检验后72小时内收到买方认可书面通知为准，一旦船舶获得认可，船舶买卖关系即告确立，这仅限于此合同的条款。卖方如果未能收到上述所提到的船舶船级记录的认可通知，保证金及利息应立即交还给买方，本合同宣告无效。
4a) and 4B) are alternatives; delete whichever is notapplicable. In the absence of deletions, alternative 4a) toapply.
4a条款和4b条款要两选一，删除任一条都不适用，不删减的情况下，选4a
5.Notices, time and place ofdelivery交船通知，时间及地点
a) TheSellers shall keep thebuyers well informed of the Vessel's itinerary and shallprovide the Buyerswith , anddaysof estimated time of arrival at the intended place of dry-docking /underwater inspection / delivery. When the vessel is at the placeof delivery and in every respect physically ready for delivery inaccordance with this agreement, the Sellers shall give the Buyers awritten Notice of Readiness for delivery.
卖方应及时将船舶动态告知买方并提供和（填上多少天）进船坞/水下检查/交付的通知。当船舶在交付地点并且本身在各方面处于交付状态时，卖方要提交给买方书面的准备交付通知书。
b) The vessel shall bedelivered and taken over safely afloat at a safe and accessibleberth or anchorage at /in in the Sellersoption.
Expected time of delivery:
Date of cancelling (see Clauses 5c), 6b), (III) and14):
船舶要在卖方指定的泊位或锚地，并在漂浮的状态下进行交付。

销约期（见条款5C,6B(iii)和14）
c) If theSellers anticipate that, notwithstanding the exercise of duediligence by them, the vessel will not be ready for delivery by thecancelling date they may notify the Buyers in writing stating thedate when that the vessel will be ready for delivery and propose anew cancelling date. Upon receipt of such notification the Buyersshall have the option of either cancelling his agreement inaccordance with clause 14 within 7 running days of receipt of thenotice or of accepting the new date as the new cancelling date. Ifthe Buyers have not declared their option within 7 running days ofreceipt of the Sellers notification or if the Buyers accept the newdate, the date proposed in the Sellers' notification shall bedeemed to be the new cancelling date and shall be substituted forthe cancelling date stipulated in line 61.
If this agreement ismaintained with the new cancelling date all other terms andconditions hereof including those contained in clause 5a) and 5c)shall remain unaltered and in full force and effect. Cancellationor failure to cancel shall be entirely without prejudice to anyclaim for damages the Buyers may have under clause 14 for thevessel not being ready by the original cancellingdate.

d) Should the vessel becomean actual, constructive or compromised total loss before deliverythe deposit together with interest earned shall releasedimmediately to the Buyers whereafter this agreement shall be nullandvoid.
交船前，倘若船舶发生全损或推定全损，本合同宣告无效，保证金及利息应立即交还给买方。
6.Drydocking/Diversinspection进船坞/水底检
a) The Sellers shall place the vessel in dry dock at theport of delivery for inspection by the Classification Society ofthe Vessel's underwater parts below the deepest load line, theextent of the inspection being in accordance with theClassification Society's rules.If the rudder, propeller, or bottomor other underwater parts below the deepest load line are foundbroken, damaged, or defective, so as to affect the Vessel's class,such defects shall be made good at the Seller's expense to thesatisfaction of the Classification Society without condition /recommendation.
卖方在交船港的船坞安排船舶检查，由该船舶的船级社负责对船舶低于最深载重线的水下部分进行检查，该检查遵循船级社的条款。如果发现船舵，螺旋桨或低于最深载重线水下部分有影响船级的损坏或缺陷，那么应由卖方无条件地自费修理，直到满足船级社的要求。
b) (i)The Vessel is to be delivered without dry docking.However the Buyers shall have the right at their expense to arrangefor an underwater inspection by a diver approved by theClassification Society prior to delivery of the Vessel. The Sellersshall at their cost make the Vessel available for such inspection.The extent of the inspection and the conditions under which it isperformed shall be to the satisfaction of the ClassificationSociety. If the conditions at the port of delivery are unsuitablefor such inspection, the Seller's shall make the Vessel availableat a suitable alternative place near to the deliveryport.
船舶不进船坞交船。那么，买方有权自费安排由船级社审核的潜水员进行水底检查。卖方承担为船舶检查准备的费用。该检查和进行的条件应当满足船级社的要求。如果交船港不合适该检查，那么卖方要在交船港附近安排一个合适该检查的地点。
(ii) Ifthe rudder, propeller, bottom, other underwater parts below thedeepest load Line are found broken, damaged or defective so as toaffect the Vessel's class, then unless repairs can be carried outto the satisfaction of the Classification Society, the Seller'sshall arrange for the Vessel to be drydocked at their expense forinspection by the Classification Society of the Vessel's underwaterparts below the deepest load line, the extent of the inspectionbeing in accordance with the Classification Society's rules. If therudder, propeller, bottom or other underwater parts below thedeepest load line are found damaged or defective so as to affectthe vessels class such defects shall be made good by the Sellers attheir expense to the satisfaction of the Classification Societywithout condition/recommendation. In such event the Seller's are topay for the cost of the underwater inspection and theClassification Society's attendance.
如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，除非能在船舶漂浮状态下进行维修并满足船级社的要求，不然卖方要自费安排船舶进船坞的检查费用，该检查由船级社负责并遵循船级社的规定。如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，那么卖方要无条件地自费维修，直到满足船级社的要求，在此情况下，卖方应承担水底检费和验船师费。
(iii) If the Vessel is to bedrydocked pursuant to Clause 6B) (ii) and no suitable drydockingfacilities are available at the port of delivery, the Sellers shalltake the Vessel to a port where suitable drydocking facilities areavailable, whether within or outside the delivery range as perClause 5b) which shall, for the purpose of this clause, become thenew port of delivery. In such event the cancelling date provided orin Clause 5 b shall be extended by the additional time required forthe drydocking and extra steaming, but limited to a maximum of 14running days.

c) If theVessel is drydocked pursuant to Clause 6 a) or 6 b)above
如果船舶根据上述条款6a或6b进船坞。
(i) the ClassificationSociety may require survey of the tailshaft system, the extent ofthe survey being to the satisfaction of the Classificationsurveyor. If such survey is not required by the ClassificationSociety, the Buyers shall have the right to require the tailshaftto be drawn and surveyed by the Classification Society, the extentof the survey being in accordance with the Classification Societyrules for tailshaft survey and consistent with the current stage ofthe Vessel's survey cycle. The Buyers shall declare whether theyrequire the tailshaft to be drawn and surveyed not later than bythe completion of the inspection by the Classification Society. Thedrawing and refitting of the tail shaft shall be arranged by theSellers. Should any parts of the tailshaft system be condemned orfound defective so as to affect the Vessel's class, those partsshall be renewed or made good at the Seller's expense to thesatisfaction of the Classification Society without condition /recommendation.

(ii) theexpense relating to the survey of the tailshaft system shall beborne by the Buyers unless the Classification Society requires suchsurvey to be carried out, in which case the Sellers shall pay theseexpenses. The Sellers shall also pay the expenses if the Buyersrequire the survey and parts of the system are condemned or founddefective or broken so as to affect the Vessel'sclass.
尾轴系统的检验费由买方承担，除非船级社要求该检验，那么就由卖方承担。如果买方要求检验的尾轴系统里有影响船级的损坏部件，那么卖方应承担检验费。
(iii) the expense inconnection with putting the Vessel in and taking her out ofdrydock, including the drydock dues and the ClassificationSociety's fees shall be paid by the Sellers if the ClassificationSociety issues any condition/ recommendation as a result of thesurvey or if it requires survey of the tailshaft system. In allother cases the Buyers shall pay the aforesaid expenses, dues andfees.
如果船级社提出任何建议作为检验的结果或要求对尾轴系统进行检验，那么船舶进出船坞的费用包括船坞费和验船师费用由卖方承担。在任何其它情况下，上述费用应由买方承担。
the Buyer's representativeshall have the right to be present in the drydock, but withoutinterfering with the work or decisions of the ClassificationSurveyor.
买方代表有权在船坞，但不能影响验船师的工作和决定。
(iv) the Buyers shall havethe right to have the underwater parts of the Vessel cleaned andpainted at their risk and expense without interfering with theSellers' or the Classification surveyors work, if any, and withoutaffecting the Vessel's timely delivery, If, however, the Buyer'work in drydock is still in progress when the Sellers havecompleted the work which the Sellers are required to do, theadditional docking time needed to complete the Buyers' work shallbe for the Buyers' risk and expense. In the event that theBuyers'work requires such additional time, the Sellers may upon completionof the seller's work tender Notice of Readiness for delivery inaccordance with Clause 3, whether the Vessel is in drydock or notand irrespective of Clause 5 b).
买方有权在不影响卖方或验船师工作的前提下，自费对船舶水下部分进行清洗和油漆。如果发生的话，不能影响船舶及时交付。如果卖方已经完成被要求的工作但买方在船坞的工作还在继续，由于买方要完成其工作而产生的额外的进坞时间由买方承担。在此情况下，买方的工作要求额外的时间，卖方应在完成自己的工作后出具船舶准备通知书，尽管船舶还在船坞，买方必须根据第3条接受船舶，不管船舶是否在船坞并不考虑条款5b。
Notes, if any, in the surveyor's report which are acceptedby the Classification Society without condition / recommendationare not to be taken intoaccount.
注意，如果上述情况发生的话，不考虑船级社无条件接受的验船师的报告。
6 a) and 6 b) are alternatives; delete whichever is notapplicable. In the absence of deletions, alternative 6 a) toapply.
条款6a和6b二选一，删除任一条不适用，在不删除的条件下，采用6a.
7.Spares/bunkersetc备件/燃料等
The Sellers shall deliver the Vessel to the Buyers witheverything belonging to her on board and on shore. All spare partsand spare equipment including spare tail end shaft(s) and or sparepropeller(s) if any, belonging to the Vessel at the time ofinspection, used or unused, whether or board or not shall becomethe Buyers property, but spares on order to be excluded. Forwardingcharges, if any, shall be for the Buyers account. The Sellers arenot required to replace spare parts including spare tail endshafts(s) and spares propeller(s) which are taken out of store andused as replacement prior to delivery, but the replaced items shallbe the property of the Buyers. The radio installation andnavigational equipment shall be included in the sale without extrapayment, if the same is the property of the Sellers. Unused storesand provisions shall be included in the sale and be taken over bythe Buyer's without extra payment.
船舶包括属于船舶的一切船上和岸上物品应由卖方移交给买方。所有备件和备用设备包括备用尾轴和备用螺旋桨，凡是在船舶检查时属于船舶物品，无论是否曾使用过，是否在船上，都应成为买方的财产。但是，正在订购的备件不包括在内，倘若发生转运费用问题，则转运费用应由买方承担。卖方不需要对交船前已经从后备库中取出用于替换的备件包括备用尾轴和备用螺旋桨进行补充，但是，被替换下的物件应成为买方财产。包括在本售卖中的无线电装置、导航设备，只要它们确实是卖方财产，无须另外付款。包括在本售卖中的未使用的仓储和给养由买方接收，无须另外付款。
The Sellers have the right to take ashore crockery, plate,cutlery, linen, and other articles bearing the Sellers flag orname, provided they replace same with similar unmarked items.Library forms etc, exclusively for use in the Sellers' Vessel(s),shall be excluded from the sale without compensation. Captain's,Officers' and Crew's personal belongings including the slop chestare to be excluded from the sale, as well as the followingadditional items (including items onhire):
卖方有权将印有卖方旗帜或名字的陶器、盘子、刀叉餐具、亚麻织品和其它物品拿上岸，只要卖方用没有标记的类似物品替代之。属于卖方专用的船上图书、资料表格等不包括在内，卖方不予以补偿。船长、高级船员和普通船员的私人行李包括日用品。储藏箱以及下列物品均不包括在本售卖中。
The Buyers shall take over remaining bunkers, unusedlubricating oils in storage tanks and sealed drums and pay thecurrent net market price (excluding barging expenses) at the portand date of delivery of the Vessel. Payment under this clause shallbe made at the same time and place and in the same currency as thePurchase Price.
船上剩余的燃料、未使用的润滑油，应由买方接收并按交船日的市场价格付款。本条款下的付款时间、地点和币制与买价的支付相同。
8.Documentation交船文件
The place ofclosing:法律/文件交接地点
In exchange for payment of the Purchase Money the Sellersshall furnish the Buyers with delivery documents,namely:
在作为对买方支付买价的交换，卖方应为买方完成交船文件，即：
a) LegalBill of Sale in a form recordable in (the country in which theBuyers are to registertheVessel), warranting that the Vessel is free from all encumbrances,mortgages and maritime liensorany other debts whatsoever, duly notarially attested and legalisedby the consul of such country or other competentauthority.
正式的销售合同用（买方注册船舶国家）可记录的形式。证明该船没有任何债务、海上留置权以及其他债务之牵连，经公证人证实，并由该城市的领事或其他公证机关合法化。
b) Current Certificate ofOwnership issued by the competent authorities of the flag state ofthe Vessel.
由船舶的船旗国公证机关出具船舶所有权证明证书。
c) Confirmation of Classissued within 72 hours prior to delivery.
在交船前72小时内出具维持船级证书。
d) Current Certificateissued by the competent authorities stating that the Vessel is freefrom registered encumbrances.
由公证机关出具船舶无债务登记证明
e) Certificate of Deletionof the Vessel from the Vessel's registry or other official evidenceof deletion appropriate to the Vessel's registry at the time ofdelivery, or, in the event that the registry does not as a matterof practice issue such documentation immediately, a writtenundertaking by the Sellers to effect deletion from the Vessel'sregistry forthwith and furnish a Certificate or other officialevidence of deletion to the Buyers promptly and latest within 4(four) weeks after the Purchase Price has been paid and the Vesselhas been delivered.
船舶登记处的船舶注销证书或其他关于船舶登记处的注销证明。如果登记处没有立即发行这种证书的惯例，那么在买价已付并交船后的最迟4周内，将由卖方出具的书面的船舶注销证书和其他官方的注销证明交给买方。
f) Any such additionaldocuments as may reasonably be required by the competentauthorities or the purpose of registering the Vessel, provided theBuyers notify the Sellers of any such documents as soon as possibleafter the date of this Agreement.
任何公证机关为了船舶的登记而要求的其他的文件，在签完合同后由买方通知卖方尽快提供。
At the time of delivery the Buyers and the Sellers shallsign and deliver to each other a Protocol of Delivery andAcceptance confirming the date and time of delivery of the Vesselfrom the Sellers to the Buyers.
在交船时，买卖双方要签订一份船舶交接协议书，用于确认卖方交给买方船舶的时间。
At the time of delivery the Sellers shall hand to theBuyers the classification certificate(s) well as all plans etcwhich are on board the Vessel. Other certificates which are onboard the Vessel shall also be handed over to the Buyers unless theSellers are required to retain same, in which case the Buyers tohave the right to take copies. Other technical documentation whichmay be in the Sellers possession shall promptly be forwarded to theBuyers at their expense, if they so request. The Sellers may keepthe log books, but the Buyers have the right to take copies ofsame.
在交船时，卖方将船上所有证书和全部图纸交给买方，其他船上证书也应交给买方，如果卖方要求保留，那么买方有复印的权利。如果买方要求，其他卖方拥有的技术文件也应及时地递交给买方。航海日志应由卖方收存，但买方有复印的权利。
9. Encumbrances债务
The Sellers warrant that the Vessel, at the time ofdelivery, is free fromall charters, encumbrances, mortgages and maritime liens or anyother debts whatsoever. The Sellers hereby undertake to indemnifythe Buyers against all consequences of claims made against theVessel which have been incurred prior to the time ofdelivery.
卖方保证在交船时船舶没有任何债务、海上留置权以及其他债务之牵连。交船前，倘若发生任何有关所售船舶在交船前产生的索赔要求，卖方保证赔偿给买方上述索赔所造成的损失。
10.Taxes税款
Any taxes, fees and expenses connected with the purchaseand registration under the Buyer's flag shall be for the Buyer'saccount, whereas similarcharges connected with the closing of the Sellers register shall befor the Sellers' account.
任何与悬挂买方旗帜的船舶的购买和登记有关的税款、费用以及其他开支应由买方承担；与卖方注销船舶登记有关的类似费用应由卖方承担。
11. Condition ondelivery交船状况
The Vessel with everything belonging to her shall be at theSellers risk and expenses until she is delivered to the Buyers, butsubject to the conditions of this contract, she shall be deliveredand taken over as she is at the time of inspection, fair wear andtear excepted. However, the Vessel shall be delivered with herclass maintained without condition/recommendation, free of averagedamage affecting the Vessel's class, and with her classificationcertificates and national certificates, as well as all othercertificates the Vessel had at the time of inspection, valid andunextended with condition / recommendation by Class or the relevantauthorities at the time of delivery. “Inspection" in this clause11, shall mean the Buyer's inspection according to Clause 4a) or4b), if applicable, or the Buyer's inspection prior to signing ofthis Agreement. If the Vessel is taken over without inspection, thedate of this Agreement shall be the relevantdate.
卖方应对属于船舶一切的物品承担风险和费用，直至船舶移交给买方为止，但须以本合同的条款为限。船舶应按其接受检查时的状况移交，自然损耗除外。
另外，船舶无条件得按现有船级交付，不考虑影响船级的平均损伤，船级证书和国籍证书或其他船舶证书在船舶检查时交付，由船级社或相关机构出具的有效的，未延期的证书在交船时交付。
第11条上的“检查”，如果合适的话，是指根据条款4a或4b的检查，又或者指在签合同前买方的检查。如果没有检查就进行交船，合同的日期就是相关的日期。

12. Name/markings船名与标记
Upon delivery the Buyers undertake to change the name ofthe Vessel and alter funnel markings.

13. Buyers'default买方违约责任
Should the deposit not be in accordance with Clause 2, theSellers have the right to cancel this contract, and they shall beentitled to claim compensation for their losses and for allexpenses incurred together with interest. Should the Purchase Moneynot be paid in accordance with Clause 3, the Sellers have the rightto cancel this Agreement, in which case the amount depositedtogether with interest earned shall be released to the Sellers. Ifthe deposit does not cover their loss, they shall be entitled toclaim further compensation for their losses and for all expensestogether with interest.
如果买方没有支付条款2所规定的押金，卖方有权取消合同，卖方有权索赔由此产生的损失和所有费用及利息。
如果买方没有支付条款3所规定的买价，卖方有权取消合同，而押金及利息要交还给卖方。如果押金未能弥补损失，卖方有权进一步索赔由此产生的损失和所有费用及利息。
14. Sellers'default卖方违约责任
Should the Sellers fail to give Notice of Readiness inaccordance with Clause 5 a) or fail to be ready to validly completea legal transfer by the date stipulated in line 61 the Buyers shallhave the option of cancelling this Agreement provided always thatthe Sellers shall be granted a maximum of 3 banking days afterNotice of Readiness has been given to make arrangements for thedocumentation set out in Clause 8. If after Notice of Readiness hasbeen given but before the Buyers have taken delivery, the Vesselceases to be physically ready for delivery and is not madephysically ready again in every respect by the date stipulated inline 61 and new Notice of Readiness given, the Buyers shall retaintheir option to cancel. In the event that the Buyerselect
to cancel this Agreement the deposit together with interestearned shall be released top them immediately. Should the Sellersfail to give Notice of readiness by the date stipulated in line 61or fail to be ready to validly complete a legal transfer asaforesaid they shall make due compensation to the Buyers for theirloss and for all expenses together with interest if their failureis due to proven negligence and whether or not the Buyers cancelthis Agreement.

15. Buyer'srepresentatives买方代表
After this agreement has been signed by both parties andthe deposit has been lodged, the Buyers have a right to place tworepresentatives on board the Vessel at their sole risk and expenseupon arrival at on or about These representatives are on board forthe purpose of familiarization and in the capacity of observersonly, and they shall not interfere in any respect with theoperation of the Vessel. The Buyers' representatives shall sign theSellers' letter of indemnity prior to theirembarkation.
买卖双方签完合同后，押金已提交，买方有权在（日期）在（买方代表上船熟悉地点）派2名代表上船，费用自担。代表只是以观察员的形式上船熟悉船舶，不能影响船舶的操作。买方代表在上船前签署卖方的保函。
16.Arbitration仲裁
a) This Agreement shall be governed by and construedaccording with English law and any dispute arising out of thisAgreement shall be referred to arbitration in London in accordancewith the Arbitration acts 1950 and 1979 or any statutorymodification or re-enactment thereof for the time being in force,one arbitrator being appointed by each party. On the receipt by oneparty of the nomination in writing of the other party's arbitrator,hat party shall appoint their arbitrator within fourteen days,failing which the decision of he single arbitrator appointed shallapply. If two arbitrators properly appointed shall not agree theyshall appoint an umpire whose decision shall befinal.
此合同管理和解释应符合英国法律，此合同产生的纠纷应提交于伦敦并根据1950年与1979年的仲裁条款或任何当时有效力的新指定修正本等进行仲裁。每一方应各自任命一名仲裁员。一方当事人收到另一方仲裁员的提名就应该在14天内任命自己的仲裁员，否则单方面任命的仲裁员的判决失效。如果正式任命的两名仲裁员不符，那么双方应该在任命一名仲裁员，该仲裁员的判决是终局的。
b) This Agreement shall be governed by and construed inaccordance with Title 9 of the United States of America Code andLaw of the State of New York and should any dispute arise out ofthis Agreement, the matter in dispute shall be referred to threepersons at New York, one to be appointed by each of other theparties hereto, and nthe third by the two so chosen; their decisionor that of any two of them shall be final, and for the purpose ofenforcing any award, this Agreement may be made a rule of theCourt. The proceedings shall be conducted in accordance with therules of the Society or Maritime Arbitrators, Inc. NewYork.
此合同管理和解释应符合美国法典的第九条和纽约的法律，由此产生的纠纷涉及交由在纽约的3个仲裁员来仲裁，每一方各自任命一名，第三个由双方共同任命，他们做出的决定或他们当中任何两人做出的决定将成为最终裁决，并且为执行任何裁决的目的，本合同可能成为法院的一项依据。仲裁的各项程序应按照纽约海事仲裁员协会的规则进行。
c) Any dispute arising out of this Agreement shall bereferred to arbitration at,subject to the procedures applicable there. The laws ofshallgovern this Agreement.
此合同产生的纠纷应交于（其他仲裁地）仲裁，仲裁的各项程序仅限于按照当地的规则进行。本合同的管辖法为 地的法律。
16 a), 16 b) and 16 c) arealternatives; delete whichever is not applicable. In the absence ofdeletions, alternative 16 a) to apply.
条款16a,16b和16c要三选一，删除任一条不适用。在不删除的情况下，采用16a 。
